Mr. Abendroth's experience includes:
- Serving as General Counsel of BayBank, a $12 billion regional bank where he was responsible for managing the Legal Department, regulatory compliance, and legislative affairs.
- Representing individuals and businesses as inside and outside counsel with respect to a variety of commercial and fiduciary matters.
- Serving for five years as Senior Counsel of Bank of New England Corporation, where he represented its investment adviser and broker dealer subsidiaries and managed the legal and regulatory aspects of the Corporation’s treasury and securities activities.
- Serving as Trust Counsel at Bank of New England, where he designed and implemented banking and securities law compliance policies and procedures, resolved tax, trust, and estate administration issues; and successfully lobbied for the enactment of trust-related legislation.

Over the past 25 years, Mr. Berns has represented both banking and non-banking clients throughout New England in a broad variety of banking and commercial matters. His experience includes:
- Representing banking clients in a wide-range of matters, including drafting and negotiating cash management agreements; negotiating and documenting consumer loans, commercial transactions, and residential real estate transactions; assisting branch personnel in resolving customer issues; and resolving disputes involving check and credit card fraud, consumer protection claims, mortgages and real estate transactions, and responding to “branch calls.”
- Serving as Senior Counsel and Manager of Litigation for BayBanks, Inc., where he was responsible for litigation management and dispute resolution, and advising and assisting senior management and others with regard to a broad range banking operations, including contract negotiations, regulatory compliance, subpoena and trustee process compliance, and compliance with the Uniform Commercial Code.

- Serving as Senior Counsel of BankBoston where she was responsible for providing legal support for retail deposit and credit products and regulatory compliance.
- Serving as Legal Counsel of BayBanks, Inc.,where she was responsible for a variety of legal and regulatory matters related to the Company’s retail credit and deposit businesses; preparing for and responding to state and federal banking examinations; and drafting and implementing applications to regulators for authority to acquire and merge banks.
- Representing a variety of lenders and individuals in the negotiation, documentation, closing and collection of commercial and consumer loan transactions and residential and commercial real estate transactions.
